These Terms of Service (“Terms”) govern your access to and use of Threadesk, including the Threadesk web app, our websites and related services (together, the “Service”). By creating an account or using the Service you agree to these Terms.
1. Acceptance of Terms
By accessing or using Threadesk, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you use Threadesk on behalf of a business, you confirm you have authority to bind that business to these Terms.
2. Eligibility
You must:
- Be at least 18 years old.
- Use Threadesk for a lawful business or professional activity.
- Have authority to enter into a binding agreement.
- Comply with the laws that apply to you and your business.
3. What Threadesk is
Threadesk is a conversational business record-keeping system. You tell Threadesk what happened by voice, text, photo or file, and it proposes the matching records for your sales, payments, customers, stock, expenses, reminders and deliveries. Nothing is saved until you confirm it.
Threadesk is not:
- A bank, payment processor or payment service. Threadesk records payments you tell it about; it does not move money.
- An accounting, tax, legal or financial advisory service.
- A messaging or marketing platform. Threadesk does not send messages to your customers on its own.
4. Your account
You are responsible for:
- Keeping your sign-in details secure.
- Securing the devices and browsers you use to access Threadesk.
- Managing the people you allow to use your account.
- All activity that happens under your account.
Where available, you can sign in with Google. Threadesk does not receive your Google password.
Tell us promptly at [email protected] if you think someone has accessed your account without permission.
5. Your records and content
You own the business records, customer information, files and other content you put into Threadesk (“Your Content”). We process Your Content only to provide, secure and improve the Service, as described in our Privacy Policy.
You give Threadesk the limited permission needed to host, process and display Your Content for you, including by sending it to the service providers described in the Privacy Policy.
You are responsible for Your Content, for having the right to use it, and for the accuracy of the records you confirm. You are also responsible for complying with data-protection and privacy laws that apply to the customer information you record.
6. AI-assisted features
Threadesk uses AI to read what you submit and propose records or answers. AI output can be incomplete or wrong. Threadesk shows you what it understood and what it plans to change, and you decide whether to confirm, edit or cancel.

Some AI features may be limited by your plan, by usage allowances or by credits.
7. Acceptable use
You agree not to use Threadesk to:
- Break the law or infringe anyone’s rights.
- Commit fraud or record transactions you know to be false.
- Collect or process personal information unlawfully.
- Upload malware or attempt to disrupt, probe or reverse engineer the Service.
- Bypass usage limits, plan restrictions or security controls.
- Impersonate another person or business.
- Resell or provide the Service to others without our written permission.
8. Plans, credits and billing
Threadesk may offer free and paid plans. What each plan includes, including limits and any usage credits, is described on our pricing page or in the app and may change over time.
Paid subscriptions are billed in advance for the interval you choose and renew automatically until you cancel, where supported. Payments are handled by third-party payment providers, such as Paystack or Flutterwave. Prices may exclude taxes, which are added where required.
Usage credits, where offered, are consumed as described in the app. Unused purchased credits may expire after their stated validity period and have no cash value.
If a payment fails, we may retry it, reduce access, or move your account to a free plan.
9. Refunds
Refunds are covered by our Refund Policy. Except where the law requires otherwise, subscription fees and credit purchases are non-refundable once processed, and partial billing periods are not refunded.

10. Third-party services
Threadesk relies on third-party services such as hosting, AI model providers, email delivery and payment providers. Their availability and terms are outside our control. Third-party names and products belong to their owners, and Threadesk is not affiliated with or endorsed by them unless we say so.
11. Intellectual property
Threadesk and its licensors own the software, models and tooling we build, our designs, documentation, branding and logos. These Terms give you only a limited, non-exclusive, non-transferable right to use the Service. They do not transfer any ownership to you.
If you send us feedback, we may use it to improve the Service without obligation to you.
12. Service availability
We work to keep Threadesk reliable, but we do not promise uninterrupted or error-free service. Maintenance, infrastructure issues, browser or device changes and third-party outages can cause interruptions. We may change or discontinue features with reasonable notice where practical.
13. Disclaimer
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement.
AI-generated results may contain inaccuracies. You are responsible for reviewing and confirming information before it becomes a record or before you act on it.
14. Limitation of liability
To the maximum extent permitted by law, Threadesk will not be liable for lost profits, lost revenue, business interruption, customer disputes, inaccurate records you confirmed, third-party service failures or payment processing delays, or for any indirect or consequential loss.
Our total liability for any claim relating to the Service is limited to the amount you paid Threadesk in the twelve months before the claim arose.

15. Suspension and termination
You can stop using Threadesk and close your account at any time. We may suspend or terminate accounts for fraud, abuse, security risks, non-payment, illegal activity or breach of these Terms.
After closure, we handle your data as described in the Privacy Policy. You are responsible for exporting anything you need before you close your account.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will give notice, for example in the app or by email. Continuing to use Threadesk after changes take effect means you accept the updated Terms.
17. Governing law
These Terms are governed by the laws of the jurisdiction in which Threadesk operates and provides the Service, without regard to conflict-of-law rules. Courts in that jurisdiction have jurisdiction over disputes, unless mandatory consumer-protection law gives you other rights.
